Aspen Highlands is a commercial property consisting of two lots (Lot 1 and Lot 2) in Casa Grande, AZ, governed by a Declaration of Covenants, Conditions, Restrictions and Cross-Easements. This document establishes mutual easements and restrictions between the two lots, primarily benefiting Walgreen Co. as the anchor tenant on Lot 2.
- Cross-easements (access, utilities, drainage): Each lot owner grants the other perpetual non-exclusive easements for vehicular/pedestrian access over common areas, underground utilities, and stormwater drainage, subject to notice and repair obligations.
- Walgreen exclusive use restrictions on Lot 1: Lot 1 cannot be used for a pharmacy, medical diagnostic lab, health/beauty aids (over 100 sq ft), photofinishing, greeting cards/gift wrap, or prepackaged food (except grocery/deli/restaurant). This restriction terminates if Walgreen closes its store for six months or more.
- Prohibited uses on both lots: No cocktail lounge, bar, disco, bowling alley, skating rink, adult entertainment, second-hand store, auction house, flea market, car wash, hazardous materials, or any use creating a nuisance.
- Maintenance obligations: Each owner must maintain its lot and improvements in a safe, clean, first-class commercial condition, including paving, landscaping, painting, trash removal, directional signs, and lighting.
- Insurance requirements: Each owner must maintain commercial general liability insurance with a combined single limit of at least $2,000,000; large entities (net worth over $300M) may self-insure. Proof of insurance must be provided upon request.
- Enforcement and remedies: Any owner may enforce the declaration via injunction or other remedies; a 30-day cure period applies. The prevailing party in enforcement litigation is entitled to attorney's fees.
- Assignment and subdivision: Owners may subdivide or sell portions of their lots, but all subdivided parcels remain subject to this declaration. An owner may designate a tenant as its agent for all purposes under the declaration.
