- Developer control & veto: Stelle Development LLC has a veto over board actions after 80% of acreage is sold, expiring when 100% is sold. The developer must receive advance notice of meetings and has 30 days to veto any action in writing.
- Officers: The board elects officers (president, vice president, treasurer, secretary) annually. The president presides at meetings; the treasurer handles funds; the secretary keeps minutes and records.
- Assessments: Assessments are levied as specified in the Declaration—this document does not set amounts or due dates.
- Amending the rules: The board can amend these bylaws, but after the developer's veto expires, amendments to certain provisions (bylaw amendment article and articles of incorporation amendment article) require 75% member approval. Other articles of incorporation amendments require a two-thirds vote of members present.
- What this document doesn't cover: These bylaws do not include rules about pets, leasing, parking, architectural standards, or any day-to-day homeowner obligations. Those rules are in the Declaration of Covenants, Conditions and Restrictions.
