This is a declaration of easements and maintenance agreement between two commercial property owners, not a homeowners association rulebook. It grants reciprocal access, utility, and drainage easements across two adjacent lots (S-20A and S-20B) in Imperial Center, Durham, NC, and sets out maintenance, insurance, and cost-sharing obligations. It binds only the owners of those two lots, not individual homeowners or tenants.
- Easements granted: Each lot owner grants the other nonexclusive easements for vehicle and pedestrian access (50-foot and 24-foot wide), storm water drainage, and utility lines (telephone, gas, electric) across their property, as shown on the recorded Final Plat.
- Maintenance responsibilities: Each owner maintains the easement areas on their own lot, except the 50-foot common access easement, which the owner of Lot S-20B maintains and the owner of Lot S-20A reimburses half the cost within 30 days. Maintenance includes keeping surfaces level, striped, repaired, and free of snow/ice.
- Repair and reimbursement process: If one owner fails to repair critical services (drainage, telephone, electric) or access areas after written notice, the other owner can complete the work and demand reimbursement. Non-emergency repairs must start within 15 days and finish within 30 days; unpaid amounts accrue 15% annual interest and can become a lien on the defaulting owner's property.
- Insurance and liability: Each owner must carry liability insurance covering use of the easement areas, naming the other owner as an additional insured. They waive subrogation rights against each other for insured losses, and each indemnifies the other for claims arising from maintenance, except for the other's sole negligence or misconduct.
- Term and amendments: The easements and obligations run in perpetuity unless amended by a written, recorded agreement of both current lot owners. The declaration binds all future owners, heirs, and assigns.
