It governs the relationship between the owners of Lot 1A (currently a restaurant) and Lot 2A (a quick lube), covering shared driveways, utilities, drainage, and use restrictions. It is not a community rulebook for homeowners or renters.
- What this document covers: This is a commercial easement and restriction agreement between two adjacent lot owners, not a residential HOA. It sets up shared access, utility, stormwater, and encroachment easements, plus maintenance and insurance obligations.
- Access & shared drives: Both lots share a perpetual non-exclusive access easement over drive aisles, including 'Protected Access Drives' that must stay open except for emergencies or maintenance with 10 business days' notice. No parking is allowed on the other lot, and no barriers may block traffic flow.
- Utilities & drainage: Each owner grants the other a utility easement for underground lines (water, sewer, gas, electric, communications) and a stormwater easement. Utility lines must be underground, and the owner of Lot 2A is responsible for installing the stormwater system. Owners must give 30 days' notice before utility work.

- Insurance & liability: Each owner must carry general liability and property damage insurance with at least $5,000,000 in single limit coverage, naming the other owner as an additional insured. Owners indemnify each other for claims arising from their own negligence or intentional acts.
- Enforcement & liens: If an owner breaches the declaration, the other can enter the property to fix the issue after 10 days' notice and recover costs, or seek injunctive relief. Unpaid amounts become a lien on the defaulting owner's lot, subordinate to mortgages, and can be foreclosed under North Carolina law.
