What Foxfireclub's governing documents say
This is the corporate by-laws of Foxfire Club Villas, Inc., a North Carolina non-profit corporation. It is not a homeowner association rulebook; it governs the internal operations of a membership club, defining membership classes, voting rights, and board procedures. This document is relevant to club members and directors, not to property owners or residents.
- Membership classes & voting: The club has multiple membership classes (Charter, Benefactor, Patron, Life, Sponsoring, Sustaining, Active, Honorary, Advisory). Only Charter members get one vote each; other classes may vote only after meeting Charter requirements (e.g., five consecutive years of active membership).
- Dues & fees: Annual dues are set by the board of directors; dues are due by the annual meeting, and new members pay prorated dues. Members who fail to pay for three months may be terminated.
- Meetings & quorum: Annual members' meetings are held two months after fiscal year end. A quorum is a majority of total votes. Special meetings can be called by the president or holders of one-tenth of voting members.
- Board of directors: The board has 3 to 25 members, elected by voting members at the annual meeting. Directors serve one-year terms and may be removed by a two-thirds vote of members.
- Officers & compensation: Officers (president, vice president, secretary, treasurer) are elected by the board and must be members. They receive no salary unless approved by the attorney and CPA and a majority of the board.
- Amendments: By-laws may be amended by a two-thirds vote of Charter members or by a two-thirds vote of the board.
- What this document doesn't cover: This document does not contain property rules, assessments, pet restrictions, leasing rules, or any homeowner obligations. It is purely the internal governance of a non-profit club.
