This is the corporate bylaws for Bridgewater Crossing Homeowners Association, Inc., a Florida HOA. It governs the association's internal operations—meetings, board structure, officers, and assessments—but does not contain the community's use restrictions or architectural rules. - Meetings of Members: Annual meetings are held each year on the same day and month. Special meetings may be called by the president, the board, or upon written request of members holding 1/4 of votes. Written notice is required at least 15 days before a meeting. A quorum is 1/5 of votes (in person or by proxy).
- Board of Directors: The board consists of 3 directors, with staggered 3-year terms after Class B membership ends. Directors serve without compensation but may be reimbursed for expenses. A director may be removed with or without cause by a majority vote of members. Vacancies are filled by the remaining directors.
- Officers: Officers include a president, vice president, secretary, and treasurer, elected annually by the board. The president presides at meetings and signs instruments; the secretary keeps records; the treasurer handles funds and prepares budgets. Multiple offices may be held by one person.
- Assessments: Each member must pay annual, special, and individual assessments as more fully described in the Declaration. Assessments are secured by a lien on the property. The board sets assessment amounts and may foreclose for nonpayment.
- Amendments: Bylaws may be amended by a majority vote of a quorum of members. While Class B membership exists, HUD/FHA/VA have veto power over amendments. In case of conflict, the Articles of Incorporation control over bylaws, and the Declaration controls over both.
