What Chelsea Commons's governing documents say
Chelsea Commons is a single-family home community in Allen, TX governed by a homeowners' association (HOA). This Community Manual includes the Association's Certificate of Formation and Bylaws, which lay out the corporate structure and basic governance rules. Full behavioral rules (e.g., leasing, pets, architecture) are in the separate Declaration and other documents not included here.
- Membership & voting: Each lot owner automatically becomes a member with one vote per lot owned. During the development period, the developer (Declarant) gets four additional votes for every one vote held by other members. Voting rights can be suspended for nonpayment of assessments or for rule violations (up to 60 days).
- Board structure & elections: The Board has three directors. Until the 10th anniversary of the Declaration's recording, the developer appoints all directors. After that, one-third of the board is elected by non-developer owners; the developer appoints the remaining two-thirds until the development period ends. Directors serve staggered terms and can be removed by a 60% vote (after the 10th anniversary).
- Assessments & fines: Assessments are levied per lot and must be paid at least once per year. The Board can impose fines for violations of the governing documents. A Fine and Enforcement Policy and an Assessment Collection Policy are referenced but not included in this excerpt.
- Association powers: The Association can enforce rules, maintain common areas, adopt budgets, levy assessments, enter contracts, suspend voting rights, and exercise other powers typical for an HOA. It may also impose special individual lot assessments for maintenance of property not owned by the Association.
- Meetings & records: Annual member meetings require a quorum of at least 50% of total votes (may be waived to 25% by the Board). Board meetings are open to members, with at least two weeks' notice and an agenda. Members can inspect books and records for a proper purpose. Board actions may be taken by unanimous written consent.
- What this document doesn't cover: This excerpt contains only the Certificate of Formation and Bylaws. Key rules on leasing (minimum terms, restrictions), pets, architectural standards, parking, and specific use restrictions are in the Declaration and other attachments (e.g., Design Guidelines, Fine Policy, Generator Policy, Religious Items Guidelines) that are not included here.
