These are the bylaws for the Kinwest Mustang Park Homeowner's Association, which governs the Villas of Mustang Park, a residential planned community of single-family lots in Irving, Texas. - Membership & voting: Every lot owner is a member with one vote per lot. Quorum is 20% of votes at the first meeting; if not met, a second meeting can be called with a lower quorum (3/4 of the original). Proxies are allowed but expire after 11 months. Absentee and electronic ballots are permitted.
- Board of directors: The board has 3 to 5 directors, at least a majority must be owners or residents. Directors are elected annually by members. During the development period, the developer (Declarant) can appoint and remove all directors. After 75% of lots are sold to non-developer owners, at least one-third of directors must be elected by non-developer owners.
- Meetings & notice: Annual member meetings must be held within 100–250 days after the fiscal year. Special meetings can be called by the board or by petition of 1/5 of members. Notice of member meetings must be given 10–60 days in advance. Board meetings are open to members (except during the development period) and must be held in the county or an adjacent county.
- Assessments & fees: Owners must pay initiation fees and regular/special assessments as set by the board, subject to the Declaration. Delinquent assessments can be collected by suit or lien foreclosure. A member is considered in good standing and eligible to vote only if current on all fees.
- Rulemaking & enforcement: The board may adopt rules for administration, maintenance, and resident welfare, provided they don't conflict with the Declaration or law. Rules must be recorded if required. The board can suspend common area use for delinquent assessments or rule violations. Enforcement actions require notice and hearing under the due process procedures in Article XIV.
- Amending the bylaws: Before the development period ends, amendments require the developer's written consent. After that, amendments need a 2/3 vote of all members at a meeting with a quorum. Certain provisions (like the HOA promissory note) cannot be amended without developer and lender consent.
