This is a First Amendment to the Declaration of Covenants, Conditions, and Restrictions for the 3000 Flora Street Owners Association, Inc., a townhome community in Dallas, TX. It modifies selected sections of the original declaration but does not contain the full set of rules. Owners, residents, and the association are bound by these amended terms, but many key rules (pets, leasing, assessments) are not included here.
- Development Period: The Development Period is defined as a 10-year term starting from the recording date of the original Declaration, during which the Declarant retains certain rights (e.g., to amend unilaterally). The Declarant may terminate this period early by recording a notice.
- As-Is Condition and Release: Owners, residents, and guests accept the property and improvements 'as is' and release Declarant, the Association, and their directors, officers, and agents from any claims related to condition or construction, even if due to negligence. They acknowledge no representations were relied upon.
- Insurance Requirements: The Association must maintain property and liability insurance on common areas with an A.M. Best rating of A- or higher, including blanket waivers of subrogation, and name Declarant as an additional insured. The Association must provide primary, first-dollar coverage, and Declarant may pay premiums to keep policies in force.
- Architectural Review Disclaimer: By submitting plans for architectural approval, the owner agrees that Declarant and the Architectural Reviewer are not engineers or builders, and any approval or disapproval does not express an opinion on engineering, architectural, or construction suitability.
- Dispute Resolution Process: All claims (except assessment collection, emergency relief, and enforcement actions by the Association) must go through mandatory negotiation, mediation, and binding arbitration. The Association must obtain an independent engineer's report and 85% member vote before initiating certain claims. Each party bears its own costs, and no attorneys' fees are recoverable. A 2-year-and-1-day statute of limitations applies.
- Statute of Limitations for Claims: Any claim related to the Declaration, property, or improvements must be brought within 2 years and 1 day from the date the cause of action accrues. This applies to both owner and Association claims.
- Indemnification of Leaders: Directors, officers, committee members, and other leaders of the Association are not personally liable for debts or obligations of the Association, except for willful misconduct. The Association may indemnify them and maintain D&O insurance. A leader is not liable for mistakes of judgment.
