This document is a commercial restrictive covenant between owners of two lots (Lot 1, Block C and Lot 2, Block C) in The Shops at Mustang Crossing, a retail development in Forney, TX. It does not create a residential community or homeowners association. The covenant restricts how each lot can be used, allocates maintenance responsibilities and costs, and grants certain rights (e.g., dumpster encroachment). It is ancillary to a broader declaration and applies only to these two lots.
- Use restrictions on Lot 1, Block C: Lot 1, Block C may not be used for general dentistry, pediatric dentistry, medical-grade skin care, or chiropractic services. These restrictions expire if the restricted use on Lot 2, Block C is discontinued for one year (excluding remodeling closures).
- Use restrictions on Lot 2, Block C: Lot 2, Block C may not be used for general retail, restaurant, auto parts sales, bar, fitness center, nail salon, or wing store (e.g., Wing Stop). The owner of Lot 1, Block C has 15 days to respond to proposed uses; silence is deemed consent. If consent is given but tenant fails to start finish-out within 90 days and open within 180 days, consent lapses. No more than 2,000 square feet of general retail (other than auto parts) is allowed.
- Maintenance obligations: The owner of Lot 1, Block C must maintain the shared drive, common areas, and public use areas (as defined in the Declaration) and provide certain services. The owner of Lot 2, Block C pays a fixed $750 per month to Lot 1's owner as its sole contribution toward these expenses.
- Cost sharing for capital improvements: Capital costs (e.g., replacement of light poles) are shared: Lot 1, Block C bears 71%, and Lot 2, Block C bears 29%.
- Encroachment rights: Lot 2, Block C has the right to encroach upon Lot 1, Block C for a dumpster area, but this right terminates if the dumpster area is destroyed and rebuilt.
- Signage: The owner of Lot 1, Block C may use a pylon sign located on Lot 1, Block C at no charge until a sign tenant is found; thereafter, Lot 2, Block C may use it at no charge. Nothing prohibits either owner from obtaining additional signage rights from the city.
