This document is the Bylaws of Emory Place Phase III Homeowners Association, a Texas property owners association governing a single-family residential development in Fort Worth. The Bylaws set out the governance structure for the Association, including the board of directors, officers, meetings, enforcement, and amendment procedures. They apply to all lot owners and occupants. - Board of Directors: The board initially has three members appointed by the Declarant; after the Declarant control period, it expands to five members elected by lot owners for staggered two-year terms. Directors must be owners or spouses, cannot be delinquent on assessments or have uncured violations, and cannot be adverse to the Association in litigation. Removal requires a two-thirds vote of members present or, in limited cases, a majority of other directors.
- Officers: Principal officers are a president, secretary, and treasurer, elected annually by the board. The president and secretary must be directors. Officers can be removed with or without cause by a majority of the board.
- Member Meetings & Voting: Annual meetings are held the second Wednesday of October. Special meetings can be called by the board or by petition of 20% of lot owners. A quorum is 10% of lots (5% at an adjourned meeting). Votes are by lot; co-owned lots require unanimous agreement if multiple owners present. Proxies are allowed and expire after one year unless otherwise specified.
- Enforcement & Fines: The board may impose reasonable fines for violations after written notice and an opportunity for a hearing. Fines can be periodic for ongoing violations or per occurrence. The Association cannot foreclose on a lien consisting solely of fines. Self-help abatement is allowed after notice (except in emergencies).
- Rule Adoption: The board may adopt, amend, or terminate rules for administration, maintenance, and general welfare, provided they do not conflict with law or the governing documents. Notice to owners must be given at least 10 days before the effective date, and owners have a right to comment.
- Amendment of Bylaws: Bylaws can be amended by a majority of votes present at a meeting with a quorum. Certain amendments require approval of a majority of total lots or, during the Declarant control period, the Declarant's written consent. Amendments must be recorded.
