St. Andrews Estates Homeowners Association is a standard single-family HOA in Highland Park, TX. These Bylaws define the internal governance, membership rights, and assessment procedures for the corporation. They apply to all lot owners in the subdivision, who are automatically members.
- Association structure & purpose: The Association is a Texas nonprofit that owns and maintains common properties and services (parks, lakes, security, trails). It cannot operate for profit or engage in political activities.
- Membership & voting: Owners of lots are members. Voting rights are set in the Declaration. Proxies are allowed. Certain actions require a referendum (51% of returned votes, or higher if specified).
- Board of Directors: A 3-member board, initially the developer's designees (Terry Holmes, Tom Hobden, Dean Trudell) who serve until they no longer own lots. Thereafter, directors must be owner-residents, elected for 3-year terms (max 2 consecutive terms). Directors can be removed by majority vote, but initial designees are protected.

- Powers of the Board: The Board can adopt rules for common areas, suspend rights for nonpayment or rule violations (up to 60 days), employ managers, and carry insurance. It must maintain records and present financial statements at annual meetings.
- Officers & duties: Officers (President, VP, Secretary, Treasurer) are elected annually by the Board. The initial developer designees serve without term limits until they cease to own lots. Officers handle meetings, records, finances, and signing documents.
- Amendments & conflicts: Bylaws can be amended by 3/4 vote of members at a meeting. Matters governed by the Declaration or the Articles of Incorporation cannot be amended here; those documents control in case of conflict.
