What Nolan Ranch Road's governing documents say
This is the Bylaws of Nolan Ranch Road Association, a Texas non-profit corporation governing a standard single-family home subdivision in Johnson County, Texas. The Bylaws define how the association operates—board structure, member voting, meetings, and enforcement procedures—but do not contain the use restrictions or design standards found in the Declaration of Covenants, Conditions, and Restrictions (CC&Rs). Homeowners and prospective buyers should consult the full Declaration for rules on property use, maintenance, and aesthetics.
- Membership & voting: Every lot owner is a Member with one vote per lot (Class A). The developer (Declarant) has 5 votes per lot owned (Class B), converting to Class A after the 10th anniversary of the Declaration. Owners delinquent on assessments lose voting rights except in director elections and matters affecting owner rights.
- Board of Directors: A board of 3 to 7 directors governs the association. Initially, the Declarant appoints a majority until Class B membership ends. Directors serve staggered 2-year terms, are elected by members, and may be removed with or without cause by a majority vote of members. Directors receive no salary but may be reimbursed expenses.
- Meetings & quorum: Annual member meetings required; special meetings may be called by the president, board, or 10% of voting members. A quorum is 10% of total votes. Board meetings require a majority of directors as quorum; decisions are by majority vote of those present. Electronic and telephonic participation allowed.
- Enforcement & fines: Before imposing fines or suspending common area use, the board must give written notice with a description of the violation, a right to cure (if curable and not a health/safety threat), and an opportunity for a hearing within 30 days. Owners may appeal committee decisions to the board. Procedures comply with Texas Property Code Chapter 209.
- Financial matters: The board must prepare annual financial reports including income statement, cash receipts, variance report, balance sheet, and delinquency report. Borrowing requires member approval as for special assessments (see Declaration section 6.07). The association may not commingle funds.
- What this document doesn't cover: These Bylaws do not contain rules on leasing, pets, parking, architectural review, or common area maintenance responsibilities. Those restrictions are in the Declaration of Covenants, Conditions, and Restrictions for the subdivision. The Bylaws also do not specify assessment amounts or collection procedures beyond notice requirements.
