What Enclave Lakes Prosper's governing documents say
This is the Bylaws of The Enclave at the Lakes of Prosper Homeowner's Association, Inc., a Texas single-family HOA. The Bylaws govern the internal operations of the Association — board elections, meetings, voting, enforcement procedures, and recordkeeping — but do not contain the primary use restrictions (e.g., architectural rules, pet limits, leasing terms) that are found in the separate Declaration of Covenants, Conditions & Restrictions. Residents and owners should consult both documents for a full picture of living requirements.
- Board of Directors: The board has five members after the Declarant control period, each serving staggered 2-year terms (with a limit of 2 consecutive full terms). Directors must be lot owners or representatives of entity owners; co-owners (e.g., spouses) cannot serve simultaneously. Vacancies are filled by the remaining directors unless caused by an increase in board size.
- Meetings & Notices: Annual meetings of the Association must be held in the fourth quarter of each year. Special meetings can be called by a majority of the board or by petition of at least 20% of lot owners. Notice of board meetings must be mailed 10–60 days before or posted 72 hours in advance (with email to registered owners). Executive sessions are allowed for limited topics, but no votes may be taken in closed session.
- Voting & Proxies: Each lot has one vote; cumulative voting is prohibited. Owners may vote in person, by proxy, by absentee ballot, or by electronic ballot. Proxies must be signed, dated, and expire after 11 months unless stated otherwise. The board cannot disqualify owners from voting due to delinquent accounts.
- Enforcement & Fines: Before imposing fines or suspending common area use, the Association must give written notice and an opportunity for a hearing within 30 days. Fines must be reasonable and can be imposed on a daily or other periodic basis for ongoing violations. The board can also charge owners for property damage and reasonable legal fees, subject to notice and hearing requirements.
- Association Records: Owners may inspect and copy certain books and records (e.g., financial statements, membership list) by written request; the Association must respond within 10 business days. Certain records (e.g., attorney-client privileged communication) are exempt. The Association must maintain a membership list with at least one owner's name and mailing address per lot.
