What Orchard Creek's governing documents say
These are the Bylaws of the Orchard Creek Condominium Association, Inc., a condominium community in Plano, TX. They govern the internal operations of the association—how the board is elected, when meetings are held, how rules are made, and how disputes are resolved. The actual restrictions on use, pets, leasing, and other day-to-day living rules are in the Declaration and separately adopted Rules & Regulations, not in this document.
- Board of Directors: The board has three members, each serving a three-year term. Directors must be unit owners and cannot be delinquent on assessments. Vacancies are filled by a vote of the remaining directors.
- Meetings of Members: Annual meetings are held in April. Special meetings may be called by the President, a majority of the board, or by members holding at least 33% of the voting interests. Quorum is 33% of the percentage interests. Members may vote in person or by proxy; residents can vote if delegated by the owner.
- Officers: The officers are President, Secretary, and Treasurer, appointed by the board. The President presides over meetings and oversees operations; the Secretary keeps minutes and records; the Treasurer handles finances and budgets.
- Rules & Regulations: The board may adopt, amend, or terminate rules without a member vote, provided the rule is recorded in board minutes and does not conflict with law or the governing documents. A current copy must be available to members upon request.
- Enforcement & Disputes: The board may enforce the governing documents through legal proceedings. Any dispute that cannot be resolved by negotiation must go to binding arbitration in Dallas under AAA rules (or Texas General Arbitration Act if federal law doesn't apply).
- Amendment of Bylaws: Amendments require approval of a majority of the board or a majority of voting interests cast at a meeting with a quorum. The amendment must be signed by two officers, delivered to members 10 days before its effective date, and recorded if needed.
- Member Obligations: Each member must provide proof of ownership, keep a current address on file, notify the association of any mortgagee, and comply with all governing documents. The association may charge a fee for resale certificates.
