This is the Bylaws of Imperial House Condominium Association, a condominium community in Richardson, TX. The bylaws govern the association's internal operations—membership, board of directors, meetings, officers, and amendments—but do not contain the detailed use restrictions for units (e.g., leasing, pets, noise). - Membership & voting: Each unit owner is a member. Voting power equals the percentage of value assigned to their unit(s). No cumulative voting. Proxies allowed for up to 11 months. Joint owners must vote unanimously unless written notice of a single voting representative is given to the board.
- Meetings of members: An annual meeting is held before the end of the fiscal year. Special meetings may be called by the president, the board, or members holding at least 10% of total voting values. Notice for annual meetings must be delivered 20–60 days in advance; for specials, 10–50 days. Quorum is 60% of total percentage values. A 51% vote of those present decides most questions unless a higher vote is required by other documents.
- Board of Directors: The board consists of five members who must reside in the condominium. Directors serve 2-year terms; no director may serve more than two consecutive terms without a 1-year break. Regular board meetings must occur at least 3 times per year. A quorum is a majority of directors (3). Vacancies are filled by a majority vote of remaining directors.
- Officers: Officers (president, vice‑president, secretary, treasurer) are elected by the board after the annual member meeting. They serve until the next annual board meeting. The treasurer gives a bond if required by the board. The secretary must distribute meeting minutes to all members within a reasonable time.
- Amendments & governing documents: These bylaws can be amended only by an affirmative vote of 51% of total percentage values. If inconsistent with the Declaration and Master Deed or Condominium By‑Laws, those documents control. A copy of those documents is attached as an appendix to these bylaws.
