The Preserve is a single-family homeowners association (HOA) in Green Bay, Wisconsin — these Bylaws govern how the association is run, not the specific rules for your property. They apply to all lot owners in the community, and the developer controls the HOA until all lots are sold. Key numbers include a 50% quorum for member meetings and a 75% vote required to amend the Bylaws.
- Membership & voting: Each lot gets one vote, even if owned by multiple people. The developer holds 100% voting power until all lots are sold, after which each lot gets one vote. A quorum requires 50% of eligible votes present in person or by proxy.
- Board of Directors: Before developer control ends, the developer appoints all directors (initially three). After control transfers, the board has three members (can be increased to five by majority vote), elected annually by members. Directors must be lot owners, spouses, or representatives of entity owners. Directors serve one-year terms and can be removed by 75% member vote.
- Meetings & notices: Annual member meetings are held in October (per 2021 amendment). Special meetings can be called by the president, a majority of directors, or members with 25% of voting power. Notice must be given 7–60 days in advance. Board meetings require a quorum of a majority of directors.
- Amendments & duration: These Bylaws can be amended by a 75% vote of all members. Dissolution of the association requires unanimous consent of all owners. The association exists as long as the Declaration applies to The Preserve.
