Desert Gardens RV Oasis is a recreational vehicle resort cooperative in Cactus Forest, AZ. You become a member by purchasing a membership and signing a proprietary lease for a specific RV space. The cooperative maintains the common areas (clubhouse, pool, spa, etc.) and levies assessments on each space to cover expenses.
- Membership & Transfer: Memberships are evidenced by certificates and can be transferred only with Board approval under a right of first refusal: the cooperative may match any bona fide offer within 20 days. Upon a member's death, immediate family may assume the lease within 60 days. Termination for cause requires the cooperative to repurchase the membership at original price or resell it, minus any amounts owed.
- Voting & Meetings: Each membership gets one vote. Annual meetings are held in February. Special meetings can be called by the President or by 75% of members. Quorum is the minimum required by law. Voting can be in person, by absentee ballot, or by proxy (only allowed during Developer Control Period). Members more than 30 days delinquent cannot vote.
- Board of Directors: During the Period of Developer Control, the Developer appoints the board (initially 3 directors) and members may elect up to 2 additional directors. After developer control ends, members elect at least 3 directors. Directors may be paid expenses and compensation set by the board.
- Assessments & fees: Monthly Common Expense assessments are initially $75 per space, billed quarterly, and allocated equally per space. Special assessments require approval of two-thirds of members. Late payments incur interest and a late fee. The cooperative has a lien on the space for unpaid assessments, which can be foreclosed like a mortgage after one year of delinquency or $1,200 owed. Transfer fees may be imposed after developer control.
- Developer Control Period: The Developer initially controls the board and can appoint/remove directors and officers. The Developer may surrender control early. During this period, Developer has the right to cast one vote for each unleased space.
- Proprietary Lease: Each member signs a Proprietary Lease with the cooperative for their assigned RV space. The lease establishes the terms of occupancy and is part of the Cooperative Documents. Termination of the lease for cause also terminates the membership.
