This document establishes maintenance obligations, cost-sharing, easements, and insurance requirements among the owners of the three parcels (Lot 1, Lot 2, and Tract A). It is not a residential homeowners association or condo regime; readers are likely commercial property owners, tenants, or investors.
- Maintenance responsibilities: Each parcel owner maintains the Non-Building Areas (parking, landscaping, lighting, etc.) within their parcel at their own cost. The owner of Lot 2 is responsible for maintaining the Common Facilities (shared access drive, drainage facilities, etc.), and Lot 1 must reimburse its proportionate share (51.23% as of the effective date) plus a 10% administrative fee.
- Easements & access: Perpetual non‑exclusive easements are granted: (a) over the Shared Access Drive on Lot 2 for access to Lot 1, and (b) over the Access Easement to Tract A for drainage maintenance. No obstructions are allowed without reasonable advance notice. Parking on another owner’s parcel is prohibited unless expressly permitted.
- Insurance: The owner of Lot 2 must maintain property and liability insurance on the Common Facilities, with each parcel owner named as an additional insured. The cost of insurance is included in the Common Facilities expenses reimbursed by Lot 1. Each owner is responsible for their own interior and personal property insurance.
- Cost-sharing & reimbursement: Lot 1 pays 51.23% of Common Facilities expenses (including insurance) based on the ratio of Lot 1's square footage to the total of Lot 1 and Lot 2. Unpaid amounts may be enforced by a lien recorded against the delinquent parcel after 30 days’ written notice.
- Parking restrictions: No parcel owner may park vehicles on another owner’s parcel. Each parcel must maintain sufficient on-site parking to meet local code requirements without needing variances. Owners must also ensure their tenants and guests comply.
- Term & termination: The easements granted continue in perpetuity; all other provisions automatically terminate 99 years from the effective date (2015). The declaration can only be amended by a written instrument executed by the Declarant (or its successor as owner of Lot 2) and recorded.
- Lien for unpaid assessments: If a parcel owner fails to pay amounts due under the declaration for 30 days after written notice, the owner of Lot 2 may file a lien against that parcel. The lien is subordinate to any first mortgage but binds subsequent owners. First lienholders must also perform the obligations after foreclosure.
