What Estates at Canoa Ranch Homeowners Association's governing documents say
This document is the Bylaws of the Estates at Canoa Ranch Homeowners Association, a standard single-family HOA in Elephant Head, AZ. It governs the internal operations of the Association, including membership, board of directors, meetings, voting, and enforcement. It does not contain the detailed rules that directly govern homeowners (such as pet limits, leasing restrictions, or architectural standards); those are in the separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs) referenced throughout.
- Membership & voting: Two classes of membership: Class A (lot owners) and Class B (Declarant). Each Class A member has voting rights as set in the Declaration. Proxies are generally prohibited, but Declarant may permit them during the Declarant Control Period. Quorum for meetings is 25% of Class A votes; no quorum if Class B Member is absent. Members can act by written consent without a meeting.
- Board of Directors: During the Declarant Control Period, Declarant appoints all directors (minimum 3). After that, the board consists of an odd number not exceeding 5, elected by members. Directors may be removed with or without cause by a member vote, but those appointed by Declarant may only be removed by Declarant. Directors serve without compensation. The board can employ a manager and delegate day-to-day operations.
- Meetings: Annual meetings are held, with at least 15 days' written notice. Special meetings may be called by the President, board resolution, or petition of 10% of Class A votes. Board meetings must be open to members (but may close portions as allowed by law). Board quorum is a majority of directors. Board action may be taken without a meeting by unanimous written consent.
- Assessments & liens: The board fixes annual assessments as provided in the Declaration. Written notice of each assessment is sent to owners. If assessments are not paid within 30 days after due date, the board may foreclose the lien or sue the owner personally if cost-effective. The board may also issue a certificate of payment upon request, charging a reasonable fee.
- Hearings & enforcement: Before imposing sanctions (suspending voting or common area use, monetary penalties, disqualification from board), the board must give written notice and an opportunity to be heard. The board may also use self-help (e.g., towing vehicles) or sue for enforcement without following the hearing procedure if permitted by law. Hearings for non-conforming improvements are handled by the Architectural Review Committee (ARC).
- Amendment process: During the Declarant Control Period, Declarant may unilaterally amend the Bylaws for any purpose. After that, amendments require the affirmative vote or written consent of 51% of total Class A and Class B votes, plus Declarant's consent if it still holds membership. No amendment can remove or conflict with Declarant's rights without Declarant's written consent.
