What The Islands Community Association's governing documents say
The Islands Community Association is a master-planned community in Gilbert, AZ. This document is the articles of incorporation — a corporate founding document that establishes the association's structure, but it does not contain the day-to-day rules that govern homeowners, such as pet policies, leasing restrictions, or architectural guidelines. Those rules would be in the separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs).
- Membership & voting rights: There are two classes: Class A (owners of lots/parcels, one vote each, except those with reduced assessments lose voting rights) and Class B (the original developer, with three votes per lot owned, until certain conditions trigger conversion to Class A).
- Board of Directors composition: Initially and while a Class B member exists, the board has 3 directors. After the Class B membership ends, the board expands to 7 directors, with staggered terms (initially 2 one-year, 2 two-year, 3 three-year; thereafter all three-year terms). Directors must be owners (or representatives of corporate owners) except while Class B exists.
- Amendment process: Articles may be amended by a 75% affirmative vote of each membership class entitled to vote, after newspaper publication in Maricopa County; however, no amendment can conflict with the Declaration.
- Dissolution: Dissolution requires written consent of at least two-thirds of each membership class; assets must go to charitable, religious, scientific, literary, or educational organizations qualifying under IRS Section 501(c)(4) or 528.
- What this document doesn't cover: This is a corporate charter, not the community's rulebook. It does not contain restrictions on pets, leasing, parking, architectural changes, maintenance responsibilities, or assessments. Those are found in the separate Declaration of Covenants, Conditions, and Restrictions (CC&Rs) and other governing documents.
