What Southpoint's governing documents say
Southpoint is an investor-owned, tenancy-in-common land holding in Gold Canyon, AZ — you purchase an undivided fractional interest in raw land, not a home or building. The property is managed by an Operator (initially Walton International Group) who controls all use, leasing, and eventual sale of the entire parcel. This document governs the management and sale of the property; it is not a typical homeowners' association.
- Ownership structure: tenancy-in-common: Each unit is an undivided interest in the entire property, held in a revocable trust. Owners have no right to possess or occupy any part of the land.
- Operator's authority: The Operator (Walton) manages the property entirely, can enter into leases, grant easements, and sell portions under 10% without owner approval. Owners assign all use rights to the Operator.
- Transfer restrictions: foreign investors only: Units may only be owned by non-U.S. Persons (foreign investors) unless sold via an Accepted Purchase Offer. Any sale must comply with securities laws, and transfers are otherwise void.
- Partition prohibited: No owner can seek court-ordered partition of the property; rights are waived until December 31, 2033, or sale of the entire property, whichever is earlier.
- Sale of property: A sale of the entire property requires approval of 60% of unit owners. The Operator markets and negotiates, and approved sales bind all owners.
- Right of first refusal: Walton has a right of first refusal on any proposed sale of the entire property or individual units, with 10 days to match the offer.
