- Financial structure: The Association has no capital stock. Its fiscal year runs January 1 through December 31. No part of net earnings benefits members personally (except rebates of excess dues, fees, or assessments). Members' private property is exempt from corporate debts, but this does not limit liability for unpaid assessments levied by the Association.
- Indemnification of directors & officers: The Association must indemnify directors, officers, employees, and agents for expenses (including legal fees, judgments, settlements) incurred in legal actions related to their service—unless they acted willfully, with gross negligence, or with fraudulent/criminal intent. The Association may refuse indemnification if the person unreasonably refuses a defense provided by the Association.
