This is a declaration of covenants, conditions, and restrictions governing a commercial office development in Scottsdale, AZ. It applies to property owners within the development and establishes rules for use, maintenance, parking, and signage. The development is intended for general office and related commercial purposes only; no residential use is permitted.
- Permitted use: The development may be used for any lawful general office purpose. Prohibited uses include residential purposes, hotels, sleeping quarters, living quarters, lodging facilities, and any hazardous or noxious activities.
- Maintenance responsibilities: Each owner must maintain and repair all buildings and common areas on their parcel, including landscaping and utility lines. Common area maintenance must meet a standard comparable to other business parks in the area. Failure to maintain allows other owners to perform work at the non-performing owner's expense after notice.
- Parking allocation: Parking spaces in the Parking Structure are allocated: ORE Parcel owner gets exclusive use of 602 spaces (329 covered), Opus West Parcel owner gets the remainder. Surface parking on the Parking Structure Parcel is for ORE Parcel owner exclusively. Owners cannot reduce total parking spaces by more than 5% without consent.
- Signage approval: No sign or advertising device may be installed or used without the written approval of Declarant (initially ORE). Signs must comply with Declarant's signage criteria (Exhibit D) and all applicable laws.
- Insurance requirements: Each owner must maintain general liability and property damage insurance with combined single limits of at least $5,000,000, naming Declarant and each other owner as additional insureds. Fire and extended coverage insurance at 100% replacement cost is also required. Self-insurance is allowed if net worth exceeds $100,000,000.
- Assessments and liens: If an owner fails to pay any amount due under the declaration (including maintenance costs), the owed party may record a Notice of Assessment Lien. The lien accrues interest at 18% per annum (Default Rate) and may be foreclosed. The lien is subordinate to prior recorded mortgages and taxes.
