What The Desert Foothills Co-Op's governing documents say
The Desert Foothills Co-Op is a water cooperative in Scottsdale, AZ — an unincorporated association whose members are owners of properties served by a specific water line. Members share ownership of the water line and pay assessments for its purchase and maintenance. The rules in this document are the association's bylaws, binding on all members (property owners who use the water line).
- Membership & voting: Membership is limited to owners of properties served by the Co-Op's water line. Membership runs with the land and is nontransferable to ineligible parcels. Each active member has one vote. Members may withdraw by written notice, and membership may be terminated for conduct detrimental to the association.
- Water line purchase assessment: The association purchased the water line for $12,000. Each member's prorated share is $600, payable in three annual installments of $200 starting August 2, 1977, until the full $600 is paid.
- Dues & fees: Annual dues are set by a vote of active members on the Management Committee's recommendation. Dues may vary year to year but must be the same for all active members.
- Meetings: Annual meetings are held in July, with at least 10 days' notice. Special meetings can be called by the President, or by written request of a majority of the Management Committee or at least seven members, with 3 days' notice. A majority of members constitutes a quorum.
- Officers & Management Committee: Officers (President, Vice President, Secretary, Treasurer) are elected annually. The Management Committee consists of seven members (including the Treasurer), appointed annually. The Secretary handles administration; the Treasurer handles funds.
- Amendments & dissolution: Bylaws may be amended by a majority vote at any duly organized meeting. The association may be dissolved by a two-thirds vote of active members, with assets distributed equally among active members.
- Rules & regulations: The Management Committee may adopt rules for maintaining the water line and distributing water, consistent with the bylaws, and may be amended by a majority vote at any membership meeting.
