The restrictions apply to the ground lease tenant and any subsequent lessees, limiting the use and development of the parcel to specified commercial uses.
- Use & development restrictions: New construction is limited to a maximum of 22,000 square feet of enclosed building area (no more than 12,000 sq ft on the first floor and 10,000 sq ft on the second floor). The first floor may only be used for 'service' retail or general office use; the second floor is restricted to general office use only.
- Approval rights: The landlord (Scottsdale Place L.L.C.) has full approval rights over construction and any proposed non-office use on the first floor. Landlord may withhold consent to a non-office use if, in its reasonable business judgment, it conflicts with or competes with any retail use then existing or in pending negotiation at adjacent projects within Zécallé Plaza.
- Leasing & occupancy: Any lease or occupancy agreement for a non-office use on the first floor must include a specific notice in capital letters on the front of the instrument stating that the lease is not effective until the landlord approves the use in writing, and that the landlord is entitled to enforce this provision as a third-party beneficiary.
- Running with the land: These restrictions bind every person with any fee, leasehold, or other interest in the parcel, and inure to the benefit of the landlord and its successors, assigns, heirs, and personal representatives.
