Zel Estates is a single-family-home subdivision in Scottsdale, AZ, governed by a homeowners association (Spur Circle Improvement Association). The declaration sets out the rights and duties of owners of the 32 'membership lots,' who share ownership of common areas (including a pool, tennis courts, and private road) and are subject to assessments and restrictions. - Membership & common area: Ownership of a membership lot (one of lots 1, 3–5, 7–31, 34–36) automatically includes a 1/32nd undivided interest in the common area and membership in the association. The common area is managed by the association for all members; no owner can partition or dissolve the association while restrictions are in effect.
- Assessments & liens: Each membership lot pays 1/32nd of the association's annual budget. Until the developer (Spur Properties) relinquishes control, the maximum monthly assessment is $40; after transfer, assessments can be raised but cannot exceed $500 per lot per year without 75% owner approval. Late payments (over 20 days) become a lien on the lot, subordinate to first mortgages.
- Insurance obligations: The association must insure all common-area improvements for full replacement cost and carry at least $500,000 in public liability insurance. Premiums are common expenses. Individual owners are responsible for insuring their own lots and personal property.
- Repair & maintenance: Each owner must maintain their lot in a clean, neat manner. If a lot or its improvements are damaged, the owner must repair the exterior within 90 days; if they fail, the association may do so and charge the owner. The association may also repair common elements damaged by an owner and bill them.
- Mortgagee protections & foreclosure: First mortgagees have special rights: they may vote during foreclosure proceedings, and title acquired through foreclosure is free of any assessment liens that accrued before the foreclosure sale (except for post-foreclosure prorata assessments). Unpaid assessments remain personal debts of the defaulting owner.
- Amendment & duration: These covenants last 20 years from 1973, with automatic five-year renewals unless 3/4 of owners vote to revoke. During the first 20 years, amendments require 4/5 owner approval. Enforcement actions allow recovery of reasonable attorney's fees.
