This is a supplemental declaration that adds additional rules and restrictions on portions of Lots 5 and 6 within the Centerpoint on Mill mixed-use development in Tempe, AZ. It binds the property owners (commercial or residential) of those lots, not individual homeowners or renters directly. The document covers architectural approvals, prohibited uses, residential living standards, and detailed parking rights and cost-sharing obligations.
- Architectural review & approval: Any exterior work that materially alters the appearance of improvements requires prior written approval from the Declarant (developer). Approval is based on architectural harmony, compliance with the declaration, and impact on common areas. Declarant must respond within 30 days (10 days after resubmission) or the proposal is deemed approved. Certain repairs, interior work, and emergency repairs are exempt.
- Prohibited uses: The Property cannot be used for theaters, health spas, hotels, billiard rooms, video arcades, adult entertainment, churches, funeral parlors, and other specified uses unless Declarant gives written permission. Additionally, certain exclusive uses (listed in Exhibit B) are prohibited to avoid duplication within Centerpoint.
- Residential restrictions: Residential portions must maintain quiet enjoyment. No clotheslines, foil or darkening window screens (customary blinds/tinting allowed). Balconies and walkways must be kept neat and free of clutter; bicycles, vehicles, and unsightly items cannot be stored there. Barbecues are allowed but must be stored out of sight after use.
- Parking rights & costs: The Property is allocated 283 parking spaces in the Chase Garage (or other controlled facility). Owner receives 15 24/7 permits and 268 permits valid during Designated Parking Hours (Mon-Fri 6am-6pm, Sat 8am-12pm, excluding holidays). Up to 50 permits can have modified hours. Owner must pay the Property Share of Costs, with annual reconciliation and audit rights. Failure to pay can lead to termination of parking rights after notice and cure period. If use intensifies (e.g., expansion or change in use), Owner must obtain additional parking at its own expense.
- Developer's reserved rights: As long as Declarant owns land in Centerpoint, it can grant easements, modify common area improvements, and temporarily use the Property for construction without Owner's consent. Declarant must give advance notice, minimize interference, and repair any damage. These rights terminate if Declarant sells all structures to unaffiliated owners.
- Enforcement & amendment: Only Declarant or a specifically assigned successor can enforce these covenants. The declaration may be amended only with approval of both the current Owner(s) of the Property and Declarant (if Declarant still owns land in Centerpoint), evidenced by a recorded certificate.
