These are the Association's Bylaws — a governance document that sets rules for the Board of Directors, member meetings, voting, and officers. - Board of Directors: The Board has 3 to 5 directors, each serving staggered 3-year terms (initial terms of 1, 2, and 3 years). Directors are elected by members at the Annual Meeting. Vacancies are filled by remaining directors. A director can be removed with or without cause by a 67% vote of members present at a meeting.
- Membership & Voting: Every lot owner is a member with one vote per lot (co-owners share one vote, entity-owned lots vote via an authorized representative). During the Declarant Control Period, the Declarant (Class A member) has 10 votes per lot and must approve all decisions. A quorum is 10% of members present in person or by proxy. - Officers: Principal officers are President, Vice President, Secretary, and Treasurer, elected annually by the Board. The President and Secretary must be directors. Co-owners of a single lot cannot both serve as officers or as officer and director simultaneously.
- Fines & Delinquencies: The Board may levy fines per Section 6.5 (not provided here) and charge late fees and interest on delinquent accounts, up to 18% per year or the state maximum.
