What Urban Crossing Homeowners's governing documents say
Urban Crossing Homeowners Association is a Texas homeowners association for a single-family or townhome community. These Bylaws explain how the association operates — meetings, elections, board structure, and rules for resolving disputes — but do not contain property use restrictions (like pet limits or rental rules) or assessment amounts.
- Membership & voting rights: Each lot owner is a member. Owners get one vote per lot. If multiple owners share a lot, they decide together how to cast the single vote; otherwise they cannot vote.
- Board of Directors: The board has 3 directors, each serving 2-year terms. Directors must be Texas residents and lot owners. Members elect directors at the annual meeting. Directors can be removed for good cause (e.g., missing 3 consecutive board meetings) by a 51% vote of members present at a special meeting.
- Meetings & quorum: Annual meetings elect directors. Special meetings can be called. Notice by mail must be sent 3 to 21 days before a meeting. A quorum is a majority of members present. Once a quorum is present, business can continue even if some leave.
- Dispute resolution: Most disputes between members or the association must first go through mandatory negotiation and then mediation before anyone can sue. Certain claims (e.g., emergency relief, disputes over $5,000) are exempt and can go directly to court. If a claim goes to arbitration, the arbitrator's award is binding.
- Indemnification of directors and officers: The association will pay legal costs and judgments for directors, officers, and others acting in good faith and in the association's best interest. Indemnification is not automatic — the board must approve it first.
- Amending these Bylaws: The board can amend most provisions. Members must approve changes to board size, director terms, meeting quorum, proxy rules, or cumulative voting.
- What this document doesn't cover: These Bylaws do not contain the community's restrictive covenants (e.g., rules about pets, leasing, parking, or architectural changes). Those would be in a separate document called the Declaration of Covenants, Conditions, and Restrictions (CC&Rs).
