Canty Street Homeowners Association is a Texas non-profit corporation that governs Canty Street Townhomes — a planned unit development of attached homes (townhomes) in Dallas, TX. These bylaws define how the association is run: membership, voting, board of directors, officers, meetings, assessment authority, and amendment procedures. Detailed use restrictions (pets, rentals, parking, etc.) are in the separate Declaration of Covenants, Conditions and Restrictions, not in this document.
- Membership & voting: Every lot owner (including contract sellers but not mere lienholders) is a member with one vote per lot, except the developer (Declarant) holds three votes per lot until Class B membership expires. Voting is by voice or secret ballot; cumulative voting for directors is prohibited.
- Board of Directors: Initially 3 directors, may be increased to 5 by board vote. Directors serve three-year terms; need not be members. A majority of directors in office constitutes a quorum. The board manages the association’s business and property.
- Officers: Officers include a President (must be a director), one or more Vice Presidents, Treasurer, Secretary, and any assistant officers. Officers serve at the pleasure of the board and may be removed with or without cause.
- Meetings & quorum: Annual member meeting is the first Tuesday in January. Special meetings may be called by the President, a Vice President, a majority of directors, or one‑fourth of Class A members. Quorum for member meetings is one‑tenth of each class. Board meetings require a majority of directors then in office.
- Assessments: The association may levy assessments under the Declaration; raising annual assessments or making special assessments for capital improvements requires a two‑thirds vote of each class, with a 60% quorum. Specific amounts are in the Declaration, not these bylaws.
- Amendments: Bylaws may be amended by a majority vote of a quorum (one‑tenth of each class) at a member meeting. In case of conflict, the Declaration of Covenants, Conditions and Restrictions controls.
