This is the Bylaws and a Second Amendment to the Declaration for Fontainebleau Condominium, a 25-unit condominium in Dallas, TX. The documents govern how the association operates, including member meetings, board elections, and officer duties. - Membership & voting: All unit owners are members. Voting rights are allocated per the Declaration. Members must be in good standing (no more than 30 days delinquent) to vote. Quorum is 60% of voting power; most actions require a majority of votes cast. Proxies expire after 11 months.
- Board of Directors: The board consists of 5 members, all owners in good standing. Directors serve 1-year terms and can be removed with or without cause by a majority vote of members present. A director must not be delinquent over 30 days. Co-owners cannot serve simultaneously.
