This is the Bylaws of the Hubert Bryan Townhomes Association, a Texas nonprofit corporation governing a townhome community in Dallas, TX. The Bylaws define how the association is run — membership, meetings, voting, officers, and powers — but do not contain detailed rules for residents (e.g., pets, rentals, parking).
- Membership & voting: Every lot owner is a member with one vote per lot (Declarant gets three votes per lot while owning lots). Owners delinquent on assessments are not voting members. Multiple owners of a lot can only cast one vote total.
- Meetings: Annual meetings are held the first Monday in August. Special meetings can be called by the president or by petition of 51% of voting members. Notice must be given 10-60 days before a meeting.
- Voting & quorum: A majority of voting members is a quorum. If no quorum, meetings can be adjourned; a second reconvened meeting needs 60% quorum, and a third needs a majority of the Board. A majority vote of those present decides most issues.
- Association powers & duties: The Association can manage common areas, levy assessments, suspend voting/amenity rights for delinquent members (over 30 days) or rule violations (up to 60 days), and adopt budgets. It must keep records, insure property, and issue assessment payment certificates.
- Officers: Officers are president, vice president, secretary, and treasurer, elected annually from voting members. The president oversees, and the treasurer handles budgets and financial reports.
- Records inspection: Members may request in writing to inspect/copy association books and records. Officers may inspect at any reasonable time at the association's expense.
- Amendments: Bylaws can be amended by a vote of 75% of voting members, but this doesn't limit the Board's power to change enforcement procedures to comply with law.
- What this document doesn't cover: These Bylaws do not contain rules on pet ownership, leasing restrictions, architectural review, parking, or other common resident regulations. Those would be in the Declaration or separate rules.
