This is the Bylaws (governance rules) of Paige Place Homeowners Association, Inc., a standard single-family HOA in Dallas, TX. The Bylaws define how the Association operates—board elections, meetings, membership rights, and assessments—but do not contain specific property-use restrictions (e.g., pets, rentals, architecture) which are in the separate Declaration of Covenants. The Bylaws bind all lot owners, who automatically become members of the Association.
- Membership: Every owner of a lot in Paige Place is a member of the Association. Membership is appurtenant to the lot and cannot be separated. Voting rights: one vote per lot, exercisable as the co-owners determine. Voting rights and recreational facility use may be suspended if assessments are unpaid, or for up to 60 days per single violation of the rules.
- Board of Directors: The Board has 3 to 5 directors (initial 3). During Declarant control, the Declarant appoints/removes directors. After Declarant control ends, directors are elected by members for staggered 3-year terms. Directors serve without compensation but may be reimbursed for expenses. Notice must be given at least 10 days prior. Quorum is 10% of the voting power, present in person or by proxy. Most actions require a majority vote of those present. Board meetings require a majority of directors for a quorum.
- Assessments: The Declaration spells out the obligation to pay assessments, which are secured by a lien on the lot. The Association can levy annual and special assessments, and enforce payment, including foreclosure. No owner can avoid assessments by waiving use of common areas or abandoning the lot.
- Powers of the Association & Board: The Association manages common areas, enforces covenants, collects assessments, and can borrow money (with Board consent). The Board can adopt rules for common areas, set fines, engage a manager, and establish budgets. Committees (e.g., Nominating, Recreation, Audit) may be appointed.
- Books & Records: Books and records are available for member inspection during business hours upon reasonable notice (at least one business day). The Certificate of Formation and Bylaws are also available for inspection and purchase at reasonable cost.
