What Skylark Circle's governing documents say
This is the First Amended Bylaws of the Skylark Circle Community Improvement Association, a homeowners association in Haltom City, Texas. - Meetings of Members: Annual meetings are held on the fourth Thursday of September at 7:00 PM. Special meetings can be called by the President, the Board, or by at least two-thirds of voting members. A quorum is 51% of voting members. Members may vote by proxy (valid for up to 11 months) or by mail if the board so decides.
- Officers: Officers include a President, one or more Vice Presidents, a Secretary, and optionally a Treasurer. They are elected annually by the Board. The President oversees all business; the Secretary keeps minutes and records; the Treasurer handles funds. Any two offices except President and Secretary may be held by the same person.
- Limitation of Liability & Indemnification: Directors and officers are not personally liable for monetary damages except for breaches of loyalty, bad faith, fraud, or statutory violations. The association must indemnify them against certain expenses, and may purchase insurance for their protection.
