- Dispute resolution: mandatory mediation & arbitration: Any dispute between owner and builder related to construction, warranty, or this agreement must first go to mediation, and if unresolved, to binding arbitration (not court). The arbitration is governed by the Federal Arbitration Act. Owner may not be required to pay arbitration costs exceeding what court filing would cost, and the arbitrator can award costs and fees to the prevailing party.
- Waiver of implied warranties: The owner agrees that the only warranty on improvements is the builder's express limited written warranty. Any implied warranties (e.g., good and workmanlike construction) are disclaimed and waived to the extent permitted by Texas law.
- Builder's right to repurchase if repair cost exceeds 20% of fair market value: If the reasonable cost to repair a builder-responsible defect exceeds 20% of the property's then-current fair market value (without the defect), the builder may elect to repurchase the property under Texas Property Code Section 27.004. This right runs with the land and binds successors.
- Release of liability for mold, chemicals, or biological impurities: The owner releases the builder from any claims (including personal injury or property damage) arising from mold, mildew, fungus, spores, chemicals, or biological impurities on the property. Owner also waives subrogation rights and must obtain waivers from insurers.
- Grading and drainage: The agreement references a final grading plat and notes that the final grade uses natural topography; landscaping, pools, or retaining walls installed after closing will alter drainage, and the builder is not liable for conditions created after closing.
- What this document doesn't cover: This document does not address typical community rules such as pets, parking, leasing, architectural review, common area maintenance, or association fees. It is a specific covenant between a homeowner and builder for this lot only.
