What Graff Farms's governing documents say
This is the Bylaws of the Graff Farms Owners Association, a planned community (HOA) in Irving, TX. The bylaws govern the internal operations of the association, including the board of directors, meetings, rulemaking, enforcement procedures, and owner obligations. They supplement the Declaration of Covenants, Conditions & Restrictions (CC&Rs) and other governing documents.
- Board of Directors: After the Declarant Control Period, the board consists of 3 members serving staggered 2-year terms. Directors must be owners, spouses, or residents; delinquent or violating owners are ineligible. Vacancies are filled by remaining directors, except when removal by members occurs.
- Meetings of the Association: Annual meetings are held in October; special meetings can be called by the board or by petition of at least 20% of lot owners. Quorum is 10% of lots present in person or by proxy. Proxies are valid for 11 months unless revoked. Members may participate via remote communications if 85% have access to the technology.
- Rules Adoption and Amendment: The board may adopt, amend, or terminate rules for the administration, maintenance, and welfare of the property. Rules must be in writing and recorded in board minutes. Notice of new rules must be given at least 10 days before effective date, with opportunity for owner comment.
- Enforcement and Hearings: Before imposing fines, suspending common area use, or filing suit (except for assessment collection), the association must provide written notice and a hearing opportunity. Notice must describe the violation, cure period, and potential fines. Owners may request a hearing within 30 days.
- Obligations of Owners: Owners must notify the association of sales, provide proof of ownership, maintain a mailing address, pay assessments, and comply with all governing documents. The board may determine voting ineligibility for delinquent accounts.
- Association Records and Resale Certificates: The association must maintain records (financial, membership lists, minutes) and provide resale certificates upon request. Owners may inspect records as provided by law. The management certificate must be filed with the county.
