- Board conflict of interest: Board members, officers, and committee members must disclose any financial interest in a transaction or arrangement. They must avoid even the appearance of conflict, and may not vote or be present when the board decides on the matter. Transactions with a disclosed interest may be approved by a majority of disinterested directors.
- Director removal: A director can be removed by a vote of at least 67% of total membership votes at a meeting with quorum. A director convicted of a felony or crime involving moral turpitude within the past 20 years is automatically removed. The remaining directors may also remove a director who is adverse to the association in litigation.
