What City Point Nrh Residential Homeowners Association, Inc.'s governing documents say
This is a partial document — the Bylaws of City Point NRH Residential Homeowners Association, Inc., a Texas HOA. The Bylaws describe the corporate governance structure: how the Board is elected (initially controlled by developer), meetings, and officer duties. They do NOT contain the actual community rules (e.g., pet limits, rentals, architectural guidelines) which would be in the separate Declaration of Covenants, Conditions and Restrictions.
- Developer control: Until a transition date (120 days after 75% of lots sold or 10 years), the Declarant appoints all Board members. Thereafter, Declarant appoints two of three directors until it no longer owns any lot.
- Board composition & elections: After transition, the Board has up to 5 members. Non-Declarant directors must be member-residents (or a corporate owner's representative). Directors serve staggered terms (2 or 3 years).
- Member meetings & voting: Annual meetings start once 75% of lots sold or within 10 years. Quorum is 10% of votes; if missing, 5% at adjourned meeting. Proxies allowed (valid up to 11 months). Special meetings can be called by president, majority of board, or 51% of votes.
- Assessments: The Board has authority to levy assessments as detailed in the Declaration. Assessments are a continuing lien on each lot. (Specific amounts and schedules are not in these Bylaws.)
- Amendments: Before Declarant Turnover Date, the Declarant can amend unilaterally. Afterward, amendments require a majority vote of the Board at an open meeting with notice to members.
- What this document doesn't cover: This Bylaws document does not include actual use restrictions such as pet rules, leasing minimums, parking, architectural standards, or age restrictions. Those would be in the separate Declaration or Association Rules.
