This is the Amended and Restated Bylaws of the Fisherman's Paradise Property Owners Association, a homeowners association (HOA) for a residential subdivision in Rio Vista, Texas. The document governs the association's internal operations, membership, dues, meetings, and board structure, and it applies to property owners in the subdivision.
- Membership & voting: There are two classes of members: Active Members (property owners) who may vote and hold office, and Affiliate Members (tenants) who have no vote or office. Each lot gets one vote, even if multiple owners, and only members with paid dues can vote.
- Dues & fees: Annual dues for active members were $30 per year as of 1984, with a maximum annual increase of 10%. Dues are payable in advance each January. Tenants of delinquent owners may be required to pay dues on the owner's behalf.
- Property maintenance obligations: Owners must keep their property clean and free of junk and disabled vehicles, per the subdivision's restrictions. If not, the board can contract the work and bill the owner.
- Board & elections: The board consists of four officers (President, Vice-President, Secretary, Treasurer) and four block directors, each serving two-year terms. Elections are held in June of even and odd years for different positions.
- Meetings & voting rules: Regular meetings are quarterly (March, June, September, November) on the last Sunday at 2 PM. Board meetings are at least monthly. A quorum for board meetings is five board members; no minimum is set for association meetings. Motions pass by majority of the quorum.
- Amendments: Bylaws may be amended by majority vote of a quorum of active members at a meeting, provided the substance is stated in the call. Notice must be mailed at least ten days before the meeting. Amendments cannot conflict with the subdivision's restrictions.
