What Venus Junction's governing documents say
This is a Declaration of Covenants, Conditions, Restrictions and Easements for Venus Junction, a commercial development of 8 lots in Venus, TX. It creates a non-exclusive perpetual access easement over designated areas, imposes maintenance obligations on lot owners, and includes a protective covenant restricting use of any lot as an auto parts store during the AutoZone lease. There is no homeowners association; this document governs commercial property owners and their successors.
- Access Easement: A non-exclusive perpetual easement over designated 'Access Easement Areas' for vehicular and pedestrian ingress/egress to each lot from U.S. HWY 67 and FM HWY 157. The easement areas cannot be materially impaired without consent of all lot owners, except for emergency or temporary repair blockages (with 10 days' notice and alternate access provided).
- Maintenance of Access Drive: Declarant initially constructs and maintains the access drive. After Declarant no longer owns any lots, each lot owner maintains the access drive on its lot. Failure to maintain for 30 days after notice allows other owners to perform maintenance and bill the responsible owner.
- Protective Covenant (Use Restriction): During the term of the AutoZone Lease, no part of the development (other than AutoZone's leased area) may be used as an auto parts store (e.g., O'Reilly, Advanced, NAPA, CarQuest, or any store with over 50% sales from auto parts). Exceptions: drug stores, grocery stores, department stores, hardware stores, home improvement stores, or general merchandise retailers that sell auto parts incidentally.
- Term & Perpetuity: The declaration runs in perpetuity unless mutually terminated by all lot owners. If any provision would violate the rule against perpetuities, it expires 21 years after the death of the last survivor of the now-living descendants of King Charles III.
- Binding Effect: All easements, restrictions, and covenants are intended to run with the land, binding successors and assigns. Mortgages are subordinate to this declaration, and any foreclosure buyer takes title subject to its terms.
