This document is a Declaration of Covenants, Conditions, and Restrictions (CC&Rs) for VF Factory Outlet Center, a commercial retail shopping center in Mesa, AZ. It governs the use and development of commercial lots within the center, binding all owners (typically businesses). This is not a residential community.
- Architectural review: All improvements (buildings, landscaping, signs, etc.) require prior written approval from a 3-member Architectural Design Review Committee. Plans must be submitted with a review fee ($100 if prepared by a licensed architect, $250 otherwise). Work must commence within 1 year and complete within 2 years of approval.
- Use restrictions – factory outlet/ value-oriented uses: At least 70% of the building area within the Property (and any acquired Option Property) must initially be used for factory outlet or value-oriented retail (e.g., deep-discount stores, not general discount stores like K-Mart). Accessory uses (restaurants, childcare, etc.) are limited to 20% of each parcel's building area. These restrictions terminate once the first user (owner or tenant) occupies and operates the space, subject to a minimum 2-year period.
- Permitted & prohibited uses: Any commercial use allowed by zoning is permitted if conducted entirely within a building and not creating a nuisance. Prohibited uses include residential (except hotel/motel), junk yards, oil drilling, outdoor storage, rendering, slaughterhouses, and sale of clothing/accessories except as incidental to other businesses (requires VF's written approval).
- Assessments & liens: The Property Owners Association can levy annual and special assessments (special assessments require 2/3 member vote). Assessments are apportioned per lot based on square footage. Unpaid assessments become a lien on the lot and bear interest at 22% per annum (or max legal rate). The lien is subordinate to first mortgages.
- Parking, landscaping & signage: Parking must be at least 5 feet from property lines; loading docks must be screened and set back. Landscaping must be installed within 90 days of occupancy and maintained. Signs are limited to identification, sale/lease signs, and those approved by the Committee; no billboards.
- Nuisance & maintenance: No rubbish, debris, odors, or nuisances allowed. Buildings must be kept in good repair and painted. Owners must maintain landscaping. The Association or Declarant has the right to enter and correct violations after 10 days' notice, at the owner's expense.
- Duration & amendments: The restrictions run until January 1, 2006, with automatic 10-year renewals unless terminated by 2/3 of owners by area. Amendments require 80% owner approval after Declarant no longer owns lots; certain design criteria changes need Western's approval.
