This is a specialized covenant that requires all parcels in Gadsden Greens to be member land in the Central Arizona Groundwater Replenishment District (CAWCD). It binds all current and future property owners, running with the land, and creates an obligation to pay a Replenishment Assessment determined by CAWCD. This is not a standard HOA rulebook—it only addresses groundwater replenishment obligations.
- Purpose & binding effect: The covenant qualifies the property as 'Member Land' to help secure a certificate of assured water supply. Each owner, by accepting a deed, automatically agrees to the terms. The covenant runs with the land and binds all successors.
- Replenishment Assessment: Each parcel must pay an annual Replenishment Assessment based on its 'Parcel Replenishment Obligation' (calculated for excess groundwater use). The amount is set by CAWCD and is levied in accordance with Arizona law.
- Lien & personal obligation: If the assessment is not paid, it becomes a continuing lien on the parcel and a personal obligation of the owner who was responsible when it came due. CAWCD has legal remedies for collection, including interest, costs, and penalties under Arizona statutes.
- Amendments: The declaration may be amended only with written agreement of CAWCD, the Arizona Department of Water Resources, and owners of at least 67% of the total area of the property. Changes in applicable statutes or rules also trigger amendments.
