What Rose Garden Square's governing documents say
This document is the Bylaws of the Rose Garden Square Property Owners' Association, a condominium community in Phoenix, AZ. It establishes the governance structure for the association that manages common areas and enforces rules for unit owners. The full rules for pets, leasing, and other restrictions are not in this document—they are in the separate Condominium Declaration.
- Membership & voting: All unit owners are members of the association. Voting rights are set by the Declaration; members may vote in person or by proxy. A 10% quorum is required for meetings, except that during the Declarant Control period a representative of the Declarant is also required.
- Board of Directors: The Board has 3–7 directors serving two-year terms. Directors are elected by members, but during the Declarant Control period the Declarant appoints directors. A director may be removed by a two-thirds vote of members present at a meeting with a quorum.
- Meetings & quorum: Annual meetings are held each year; special meetings can be called by the President, the Board, or by petition of owners holding at least 25% of voting power. Notice must be given 10–50 days in advance. Members may participate by phone or video.
- Assessments & finances: The Board has the power to fix, collect, and enforce assessments to fund common expenses. The fiscal year is January 1 to December 31. Detailed financial records must be kept and made available to owners and mortgage holders.
- Amendment process: Until the period of Declarant Control expires, the Declarant can unilaterally amend the Bylaws for certain purposes (e.g., compliance with law, lender requirements) without a membership vote. Thereafter, amendments require Board approval. The Bylaws cannot conflict with the Declaration or Articles.
- Declarant rights: The Declarant (developer) retains significant control during the Declarant Control period, including the right to approve or disapprove Board actions that could affect development, marketing, or services. Declarant may also appoint directors and officers.
- Officers: Officers include President, Vice President, Secretary, and Treasurer, elected by the Board for one-year terms. Their duties are detailed, and they may be removed by a two-thirds Board vote.
- What this document doesn't cover: This document is the Bylaws only. It does not include rules on pets, leasing (minimum lease terms), architectural controls, parking, or specific unit use restrictions. Those are found in the separate Condominium Declaration and any adopted rules.
