Whispering Rock Resort & Spa is a timeshare resort in Phoenix, AZ. You buy a membership measured in 'Points' that gives you the right to reserve and use a unit for a specific period each year. The association maintains the property and common areas, and you pay annual assessments based on your Points. This document is the main rulebook for owners (Members), covering how you use, rent, and transfer your membership.
- Membership & Points system: You become a Member by acquiring at least 19,800 Points (a 'Basic Membership'). Points are renewed each use year and can be surrendered for stays in different units at different times. Unused Points may be carried forward or borrowed from the next year as the Board allows.
- Occupancy & reservations: Reservations are made according to the Rules. No unit may be occupied by more than 2 individuals per bedroom or sleeping area (including a sleeper-sofa in the living room) without prior written approval. Members who wrongfully hold over a unit face immediate eviction, liquidated damages (200% of fair rental value per day), and reimbursement of all costs.
- Leasing & rentals: A Member may rent their Point Use to a guest or invitee for a fee. The Association may rent unreserved units to the general public within 7 days of occupancy; within 7–30 days, at least 20% of units (or 5% of total units, whichever is less) must be kept available for Members. Rental revenue from Association-rented units goes to the Association.
- Pets: This document does not address pets; however, the Master Governing Documents may contain restrictions.
- Vehicles & parking: Vehicles must be parked in marked parking areas, enclosed parking, or garages. Violating vehicles may be towed and stored after 72 hours notice, and the responsible Member pays towing and storage costs. All parking must comply with Master Governing Documents and Rules.
- Assessments & fees: Annual and special assessments are levied based on Points. Assessments commence on the first day of the month after the first membership is issued for a unit. Nonpayment creates a lien on the membership, and the Association has a power of sale to collect delinquent assessments. Members cannot avoid assessments by nonuse or abandonment.
- Transfer of membership: Memberships may be transferred, but the terms are set forth in the Bylaws (Section 3.5). The transferor and transferee are jointly and severally liable for unpaid assessments that accrued before transfer if disclosed in a statement from the Association.
- Enforcement & arbitration: Violations may be enforced by the Association, any Member, Declarant, or a secured party. Disputes over interpretation or violation of the documents are subject to binding arbitration under Bylaw 9.6. The prevailing party in any action is entitled to damages, costs, and attorneys' fees.
