This is a Supplemental Declaration of Covenants and Restrictions for a commercial development (First Choice/Dignity Health) in San Tan Valley, Arizona. It governs the relationship between two commercial property owners (Declarant and Owner) within a larger planned development. This document is not a homeowners' association rulebook; it is a supplementary agreement that modifies the existing Common Operation and Reciprocal Easement Agreement (COREA) and primarily concerns the Owner Parcel's use, maintenance, and signage.
- Permitted Use: The Owner Parcel may be used as a freestanding emergency care facility and/or urgent care clinic, plus ancillary or incidental uses. Any other lawful use is allowed if it does not violate the use restrictions, but a change of use requires notice to Declarant and compliance with any exclusive uses granted to other owners.
- Use Restrictions: For 4 years from the effective date (March 31, 2016), no portion of the Owner Parcel may be developed or operated primarily as any type of restaurant. Also, the Owner Parcel cannot be used for any exclusive use granted to another owner in the development (with 30 days' written notice), unless it conflicts with the permitted use and subject to a 10% incidental use exception. The Declarant's parcel is restricted from developing the same permitted use (emergency/urgent care) as long as the Owner continuously operates that use, with exceptions for medical offices, drug stores, etc., that do not hold themselves out as primary urgent care.
- Signage: The Owner has exclusive right to an approved monument sign (depicted in Exhibit C). Any modification requires Declarant's approval, which cannot be unreasonably withheld unless the size or location increases (then sole discretion). If permits cannot be obtained, the Owner may install a sign panel on Declarant's pylon sign, subject to consent, at least second from top.
- Parking & Access: The Owner may reserve 12 head-in parking spaces for employees. Overnight parking and company branded vehicles (except semi-trucks or trailers) are permitted. The Owner Parcel is self-lit and not connected to other parcels. A Critical Access Drive along the western boundary provides vehicular access from Hunt Highway; no material modification without Owner's consent.
- Maintenance & Assessments: The Owner is solely responsible for maintaining all improvements on its parcel and shall not pay common area maintenance assessments for areas outside its parcel. Declarant or a manager may perform self-help if the Owner fails to maintain after notice. The Owner does not need to construct common elements as defined in the COREA.
- Alterations & Approvals: Approved plans (Exhibits D and E) govern exterior elevations, grading, drainage, and utilities. Any deviation requires Declarant's prior approval, which cannot be unreasonably withheld. Interior modifications do not require Declarant's consent regardless of cost.
- Term & Amendments: The supplemental declaration is effective from March 31, 2016, and continues until the COREA terminates, unless earlier terminated by a recorded instrument signed by Owner and all other parcel fee owners. Amendments require execution by both Declarant and Owner. Declarant cannot amend the underlying Declaration in a way that more than de minimis affects the Owner Parcel without Owner's consent.
