This document is an amendment to the master declaration of covenants, conditions, and restrictions for Skysong, a mixed-use development in Scottsdale, AZ. It modifies definitions and assessment rules for the property, which is structured around ground leases rather than traditional ownership. The rules described here bind the ground lessees (called 'Owners') and the association.
- Who is an Owner: An 'Owner' is the lessee under a ground sublease for a parcel. If there are multiple lessees, those owning at least a 51% leasehold interest can act on behalf of the parcel. The association is not considered an Owner.
- Common Areas: Common areas include portions of the property outside building exterior walls for use by all Owners and their permittees, such as the Association Tract, roadways, landscaped areas, the SkySong Art Structure (a 120-foot structure), walkways, and ingress/egress. Excluded are parking, loading areas, drive-through lanes, fenced pool or recreational areas on a parcel, and any areas designated by the Administrative Agent.
- Assessments & Budget: Assessments are levied annually based on a budget for common costs. The Administrative Agent sets the budget and gives notice. Until a new budget is set, previous year's assessment level continues. A written report of actual expenditures is provided after the first budget. Obligations are subject to availability of funds.
- Assessment Allocation: The Association Tract (leased to the association) is disregarded when allocating assessments. Assessments are allocated only to the parcels (ground subleases), based on acreage. For example, if total assessments are $20,000 and Parcel X has 10 acres, Parcel Y has 6 acres, and the Association Tract has 4 acres, X pays $12,500 and Y pays $7,500.
- SkySong Art Structure: The SkySong Art Structure is a 120-foot tall structure near the central intersection, including moorings and structural supports. It is part of the Association Tract and is maintained by the association.
- What this document doesn't cover: This is an amendment to the original declaration, not the full set of rules. It does not include typical HOA rules on pets, leasing restrictions, architectural controls, parking, or noise. Those may be found in the original declaration or secondary documents.
