What Desert Harbor HOA's governing documents say
This document contains the Amended and Restated Bylaws of Desert Harbor Homeowners Association (also known as Sun Harbor Community Association) in Sun City, AZ, as well as a 1985 Certificate of Amendment to the Declaration of Covenants, Conditions and Restrictions. The Bylaws govern the association's internal operations—meetings, board elections, and officer duties—but do not include the community's use restrictions (e.g., pets, rentals, age limits). The Certificate of Amendment only updates two sections of the Declaration: the amendment approval threshold (changed from 67% to 75% of votes) and FHA/VA/FNMA/FHLMC approval requirements.
- Annual & special meetings of members: Annual meetings occur on the fourth Tuesday of April at 7:00 p.m. Special meetings may be called by the Board or upon written request of a quorum of members. At least 10% of members (in person or by absentee ballot) must be present for a quorum.
- Board of Directors: The Board consists of 5–7 directors, each serving a 3-year term. Directors must be members (or their spouses) and Arizona residents. No more than one director per subdivision. Directors serve without compensation but may be reimbursed for expenses.
- Voting & member rights: Each lot owner has one vote per membership. Voting is by absentee ballot or in person; proxies are not allowed. Members in arrears on assessments for 15+ days or in violation of rules for 30+ days after notice automatically lose their voting rights until cured.
- Removal of directors: Members may remove a director with or without cause by majority vote at a meeting. A petition signed by 25% of votes or 100 votes (whichever is less) triggers a special meeting for removal consideration.
- Regular board meetings: Board meetings are held monthly on the fourth Tuesday at 7:00 p.m. A majority of directors constitutes a quorum. Meetings may be held by telephone or other electronic means.
- Managing agent contract: The Board may hire a managing agent under a contract of up to 3 years, terminable on 30 days' notice without penalty or termination fee.
- Amendment of bylaws: The Board can amend the Bylaws, but 51% of members can repeal or change any amendment.
