These are the Bylaws of Kessler Farms POA, Inc., a Texas homeowners association for the Kessler Farms subdivision. The document sets out how the association is governed—membership, voting, board elections, meetings, officers, and indemnification. - Who is a member & voting rights: Every lot owner is a member with one vote per lot. If multiple owners share a lot, they must agree on how to cast the vote. The developer holds Class B membership with four votes per lot until all lots are sold, and can elect the board during that period.
- Board of directors & elections: The board has three directors elected at the annual meeting. Directors serve two-year staggered terms, elected by plurality vote (no cumulative voting). The developer controls elections until control is transferred to homeowners.
- Meetings & quorum: An annual member meeting is required each year. Special meetings can be called by the president, board, or members holding at least 1/5 of the votes. A quorum is 2/5 of all eligible votes; if not met, an adjourned meeting can proceed with half that quorum.
- Officers & roles: The board elects officers (president, secretary, treasurer, and others as needed). The president manages general operations, the treasurer handles funds, and the secretary keeps minutes and records.
- Indemnification: The association must indemnify directors and officers against legal expenses if they are successful in defending a lawsuit, and may indemnify them for actions taken in good faith, subject to limits.
- Amendments: The board of directors can amend, modify, or repeal the bylaws or adopt new ones, unless the Declaration or Articles of Formation say otherwise.
