What Reflections Homeowners A's governing documents say
This is the Restated and Amended Bylaws of Reflections (Prestonwood No. 19, Section 2) Homeowners Association, a single-family home HOA in Dallas, TX. It defines how the association is governed—board structure, meetings, voting, assessments, and committees—but does not contain the property-use rules for homeowners (those are in the separate Declaration of Covenants). Homeowners and prospective buyers should consult both documents.
- Membership & voting: Every lot owner automatically becomes a member with one vote per lot. If multiple owners, they decide how to cast the single vote. Voting rights can be suspended for unpaid assessments or rule violations (up to 60 days).
- Assessments & liens: Annual and special assessments are levied per lot and secured by a continuing lien. Unpaid assessments become delinquent after 40 days and accrue 10% annual interest. The association may sue and foreclose.
- Board of Directors: Five directors serve three-year staggered terms. Directors serve without compensation. Vacancies are filled by remaining directors. A director absent from three consecutive regular meetings may be removed.
- Meetings & quorum: Annual member meetings within 11-13 months of prior. Quorum is 60% of all votes (first meeting) or 30% (adjourned meeting). Special meetings may be called by president, board, or 25% of members. Board meetings require majority quorum.
- Committees: Three standing committees: Nominating, Architectural Advisory, and Landscape Advisory. Each must include a board member as chair. The Architectural and Landscape committees enforce the Declaration's rules on property appearance.
- Amendments & dissolution: Bylaws may be amended by 70% vote of entire membership. Dissolution requires 70% written consent and at least one year advance notice.
- Books & records: Association books, Declaration, Articles, and Bylaws are available for inspection by any member during business hours. Copies may be purchased.
- What this document doesn't cover: The Bylaws govern HOA operations only. Owner obligations on lot use, leasing, pets, parking, architectural changes, and other restrictions are in the Declaration of Covenants, which is incorporated by reference but not included here.
